Terms of Service

1. Acceptance of Terms

1.1

By purchasing, downloading, or using any product offered by Merithic, you agree to be bound by these Terms of Service and represent that you are at least 13 years of age, or the minimum age required by Roblox's Terms of Use in your jurisdiction, whichever is greater. Users under 18 must have verifiable parental or guardian consent before purchasing or using any Merithic product.

1.2

If you do not agree to these terms, you must not use, access, or retain any Merithic product.

1.3

Merithic reserves the right to update or modify these terms at any time without prior notice. Continued use of products after any revision constitutes acceptance of the updated terms. It is your responsibility to review these terms periodically.

2. Definitions

2.1

"Official Channels" refers exclusively to the Merithic official website, the Roblox Creator Marketplace, and any other storefronts or distribution platforms expressly designated and publicly listed by Merithic as authorized. Any platform not explicitly listed is not an Official Channel.

2.2

"Product" refers to any Roblox Script, ModuleScript, LocalScript, Model, Plugin, UI Package, Game System, web application, hosted dashboard, server, community, or staff management platform, Discord application or bot, or other digital asset or software developed, sold, operated, or distributed by Merithic through Official Channels, together with its source code, interfaces, schemas, and documentation. Web applications and management dashboards are further addressed in Section 18.

2.3

"UI" or "User Interface" refers to the visual design, layout, styling, color schemes, component structure, iconography, HUD elements, ScreenGui layouts, Frame/TextLabel configurations, menu systems, and overall aesthetic presentation of any Merithic product or platform.

2.4

"Unauthorized Copy" refers to any version of a Merithic product obtained outside of Official Channels, including products obtained via leaked files, unofficial Discord servers, or third-party resellers.

2.5

"You" or "User" refers to any individual or Roblox developer account that purchases, downloads, accesses, or uses a Merithic product.

2.6

"Robux" refers to the virtual currency used on the Roblox platform. All purchases through the Roblox Creator Marketplace are denominated in Robux and are subject to Roblox's own transaction and refund policies in addition to these terms.

2.7

"Updatr" refers to the Updatr platform operated by Merithic — including its marketplace, seller cockpit, licensing and key system, auto-update service, and related tools — available at updatr.merithic.com and any associated domains. Updatr is a Merithic product and an Official Channel.

2.8

"Seller" refers to any user who lists, sells, or distributes a Product through Updatr. Sellers may operate individually or as part of a Studio.

2.9

"Studio" refers to a seller workspace on Updatr that may include multiple collaborators with varying permissions, under which Products are published and managed.

2.10

"Buyer" refers to any user who purchases, claims, or downloads a Product through Updatr.

3. Authorized Distribution & Purchasing

3.1

All Merithic products must be obtained exclusively through Official Channels as defined in Section 2.1. Do not purchase Merithic products from Discord servers, third-party websites, or any seller other than Merithic directly.

3.2

Any Unauthorized Copy may contain malware, hidden backdoors, malicious RemoteEvent handlers, or other harmful modifications. Merithic is not responsible for any damages, exploits, or game compromises resulting from the use of Unauthorized Copies.

3.3

If you encounter Merithic products being distributed through unofficial or third-party sources, please report it to our support team immediately.

4. Prohibited Actions

You may not, under any circumstances:

4.1

Redistribute, resell, re-upload, or leak any Merithic product — paid or free — to any individual, Roblox game, Discord server, or platform without explicit written authorization from Merithic. Gifting products is permitted only through official gifting methods provided by Merithic.

4.2

Share, distribute, transfer access to, or allow others to use any product that operates on a whitelist or key system. Whitelist- and key-based products are strictly tied to the original purchaser's authorized game(s) or account and are non-transferable under any circumstances.

4.3

Share, sell, transfer, or allow any other individual or entity to use your account credentials, license keys, API keys, access tokens, or whitelisted Place IDs for any Merithic product.

4.4

Attempt to deobfuscate, reverse engineer, decode, disassemble, or extract the source code of any Merithic Script, ModuleScript, LocalScript, or other product. This includes use of tools such as decompilers, Lua unpackers, memory dumps, or executor-based extraction. Violation of this clause will result in immediate and permanent removal from all Merithic services.

4.5

Modify any Merithic product for the purpose of redistribution, resale, or public release in any form, including re-uploading to the Roblox Creator Marketplace under a different name.

4.6

Bypass, disable, remove, or tamper with any protection, whitelist check, licensing verification, key system, or authentication mechanism present within Merithic products.

4.7

Copy, replicate, imitate, or recreate — in whole or in part — the UI of any Merithic product or official platform, including but not limited to ScreenGui layouts, color schemes, iconography, Frame/TextLabel structures, HUD elements, and branding visuals, for use in any competing product, personal project, or any public or commercial Roblox game or release.

4.8

Use any Merithic product for malicious, exploitative, harmful, or illegal purposes. Products may not be used in games that violate Roblox Community Standards.

5. Tamper Detection & Enforcement

5.1

All Merithic scripts and products may contain embedded tamper detection and integrity monitoring systems that actively watch for unauthorized modification, deobfuscation attempts, key bypasses, and license violations.

5.2

Any triggered tamper detection event may result in automatic access revocation, permanent blacklisting, and notification of relevant parties. Consequences include, but are not limited to: immediate license revocation, permanent ban from all Merithic products and services, and referral for legal action or Roblox Terms of Service reporting where applicable.

5.3

Attempts to circumvent or disable tamper detection or whitelist systems are a direct violation of these terms and will be treated as a severe violation subject to all available enforcement actions.

5.4

By using Merithic products, you acknowledge that tamper detection systems may collect and transmit data related to product usage and integrity for the purpose of license enforcement. Please refer to Section 11 for further information.

6. License & Usage Rights

6.1

Upon purchase, you are granted a limited, non-exclusive, non-transferable license to use the product solely within the authorized Roblox game(s) or Place ID(s) specified at the time of purchase. Licenses may only be transferred through official methods explicitly provided by Merithic.

6.2

This license does not grant ownership of the product, its source code, its UI, or any associated intellectual property. Purchasing a product through Roblox or any other Official Channel does not convey source-code access unless explicitly stated.

6.3

Products may not be used for any purpose that violates Section 4 of these terms or Roblox's Terms of Service and Community Standards.

6.4

Merithic reserves the right to revoke any license at any time if these terms are violated, with or without prior notice.

7. Intellectual Property

7.1

All products, scripts, systems, branding, UI elements, and assets developed or distributed by Merithic remain the sole intellectual property of Merithic unless explicitly stated otherwise.

7.2

No product, in whole or in part, may be claimed, rebranded, re-uploaded to the Roblox Creator Marketplace, or represented as the work of any individual or organization other than Merithic.

7.3

The UI and overall aesthetic presentation of all Merithic products and platforms are protected intellectual property. Any unauthorized reproduction, imitation, or derivative recreation of these elements constitutes infringement and is strictly prohibited.

7.4

Creating a product, tool, script, or service that substantially mimics or is clearly derived from the look, feel, or user experience of any Merithic product — with the intent to deceive users or compete unfairly — is a violation of these terms and may result in civil or criminal legal action.

8. Refund Policy

8.1

All purchases of Merithic products are evaluated for refunds on a case-by-case basis at the sole discretion of Merithic. Submitting a refund request does not guarantee a refund will be issued.

8.2

Because Merithic products are delivered as digital assets, all sales are generally considered final upon delivery. Where purchases are made through the Roblox Creator Marketplace, refund eligibility may also be governed by Roblox's own policies.

8.3

Refund requests must be submitted through official Merithic support channels. Requests submitted through third-party platforms without first contacting Merithic support will be considered a violation of this policy.

8.4

Refunds will not be issued where Merithic determines, at its sole discretion, that a violation of these Terms of Service has occurred, including instances of unauthorized redistribution, reverse engineering, or tamper detection events.

8.5

Initiating a chargeback or payment dispute without first seeking resolution through official Merithic support may result in permanent blacklisting from all Merithic products and services.

9. Liability & Disclaimer

9.1

Merithic products are provided "as-is" and "as available" without warranties of any kind, express or implied. We make no guarantees regarding uninterrupted functionality, compatibility with all Roblox game frameworks or updates, or fitness for a specific purpose beyond what is explicitly stated at the time of sale.

9.2

Merithic is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or misuse of our products, including but not limited to game bans, account moderation, Robux loss, or revenue impacts on your Roblox games.

9.3

Merithic is not responsible for any harm caused by Unauthorized Copies of our products obtained outside of Official Channels, including games compromised by backdoors present in leaked versions.

9.4

Nothing in this section limits liability that cannot be excluded under applicable law.

10. DMCA & Intellectual Property Infringement

10.1

If you believe that any content or product distributed under the Merithic name infringes your intellectual property rights, please submit a written notice to our support team including: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good faith belief that the use is unauthorized; and (e) a statement, under penalty of perjury, that the information is accurate.

10.2

Merithic will respond to valid DMCA takedown notices in accordance with applicable United States copyright law (17 U.S.C. § 512) and will report infringing assets to Roblox for removal where applicable.

10.3

If you believe your content was removed in error, you may submit a counter-notification through official support channels.

11. Data Collection & Privacy

11.1

Merithic products may collect limited technical data, including license identifiers, whitelisted Place IDs, Roblox UserId or game identifiers, usage patterns, and tamper detection signals, solely for the purposes of license enforcement and product integrity monitoring.

11.2

Merithic does not sell collected data to third parties. Collected data is used solely for the operational and enforcement purposes described in these terms.

11.3

By using Merithic products, you consent to the collection and processing of data as described in this section. Users in jurisdictions with additional data rights may contact Merithic support to exercise applicable rights.

12. Enforcement

12.1

Violations of these Terms of Service may result in: immediate license revocation; permanent blacklisting from all Merithic products and services; reporting to Roblox for Terms of Service violations; civil legal action for damages; and/or referral to law enforcement where criminal conduct is suspected.

12.2

Merithic reserves the right to investigate any suspected breach of these terms and take appropriate action at its sole discretion.

12.3

Enforcement actions taken by Merithic are final with respect to access to Merithic products and services. This does not limit any legal rights you may have under applicable law to seek external resolution.

13. Governing Law & Dispute Resolution

13.1

These Terms of Service are governed by and construed in accordance with the laws of the United States and the state in which Merithic is principally operated, without regard to conflict of law principles.

13.2

Any dispute arising from or relating to these terms shall first be attempted to be resolved informally by contacting Merithic support. If informal resolution fails, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English.

13.3

You waive any right to participate in a class action lawsuit or class-wide arbitration against Merithic.

13.4

Notwithstanding the above, Merithic reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

14. Severability & General Provisions

14.1

Severability: If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All remaining provisions shall continue in full force and effect.

14.2

Entire Agreement: These Terms of Service constitute the entire agreement between you and Merithic regarding your use of our products and supersede all prior agreements, representations, or understandings.

14.3

No Waiver: Failure by Merithic to enforce any provision of these terms shall not constitute a waiver of the right to enforce that provision in the future.

14.4

Assignment: You may not assign or transfer your rights or obligations under these terms without the prior written consent of Merithic. Merithic may assign its rights and obligations freely.

14.5

Platform Relationship: These Terms of Service govern the relationship between you and Merithic only. Roblox Corporation is not a party to this agreement and bears no responsibility for Merithic products, support, or enforcement actions.

15. Updatr Marketplace

The following terms apply specifically to your use of Updatr (Section 2.7). Updatr is a Merithic product and an Official Channel; all other sections of these Terms continue to apply to your use of Updatr.

15.1

Account verification. To use Updatr you must verify ownership of a Roblox account, either through Roblox's official OAuth login or by placing a Merithic–issued code in your Roblox profile. The bio-code method requires your Roblox inventory to be public so ownership of purchased Products can be confirmed; you are responsible for setting and maintaining that visibility. You may only verify and use accounts that you own or are authorized to operate.

15.2

Platform role. For Products sold by third-party Sellers, Updatr acts as a hosting, licensing, and distribution platform — not as the seller, author, or warrantor of that Product. The Seller is solely responsible for the content, functionality, legality, support, and intellectual-property clearance of their Products. Merithic does not pre-screen all Seller Products and makes no warranty regarding them.

15.3

Seller obligations. By listing a Product on Updatr you represent that you own or have all necessary rights to distribute it, that it does not infringe any third party's rights, that it contains no malware, backdoors, or hidden harmful code, and that it complies with these Terms, Roblox's Terms of Use, and all applicable law. You are responsible for the accuracy of your listings, pricing, and any support obligations you advertise.

15.4

Buyer obligations. Purchasing, claiming, or downloading a Product through Updatr grants you the limited license described in Section 6 for that Product. The redistribution, key-sharing, reverse-engineering, and anti-tamper restrictions in Sections 4 and 5 apply in full to all Products obtained through Updatr, including those authored by third-party Sellers.

15.5

Licensing & keys. Updatr issues per-user license keys that authenticate a Buyer's access and enable auto-update. License keys are personal, non-transferable except through official transfer tools, and tied to your verified account. Sharing, leaking, selling, or reusing a key issued to another user is a violation of these Terms and may result in revocation, refresh of the affected key, and blacklisting. When a Seller has configured license injection, a key unique to you may be embedded into the Product you download; this embedded key identifies you for enforcement purposes.

15.6

Studios & collaborators. Studio owners may invite collaborators and grant them scoped permissions. The Studio owner is responsible for the actions of their collaborators within the Studio and for managing access. Collaborators must only exercise the permissions granted to them and only for the Studio that authorized them.

15.7

Blacklisting. Sellers and Studios may block specific Roblox users or groups from purchasing, downloading, or using their Products. Merithic may also blacklist users platform-wide for violations of these Terms. A blacklisted user may lose access to affected Products, including the ability to download or auto-update, with or without prior notice.

15.8

Obfuscation tools. Updatr may offer optional code-protection tools, including obfuscation powered by third-party providers such as Luraph. When you use such a tool, the code you submit is transmitted to and processed on the provider's servers, subject to that provider's terms. You are responsible for ensuring you have the right to process any code you submit, and Merithic is not liable for the output, availability, or data handling of third-party processing providers.

15.9

Payments. Product purchases are generally completed on Roblox using Robux and are subject to Roblox's own transaction, payout, and refund policies. Merithic does not custody Robux on your behalf and is not responsible for Roblox's payout timing, fees, or disputes. Refunds for Products are governed by Section 8 and, where applicable, by Roblox's policies and the Seller's stated terms.

15.10

Removal & enforcement. Merithic may remove any Product, suspend any listing, restrict any Studio, or revoke any account from Updatr at its sole discretion where it believes these Terms, Roblox's policies, or applicable law have been violated, or in response to a valid infringement notice under Section 10.

15.11

Discord verification. Updatr offers an optional Discord verification feature (iVerify). When you verify, you authorize Merithic to connect your Discord account to your Roblox account: you sign in with Discord (using only the "identify" scope) and prove ownership of your Roblox account, and we store the resulting link between your Discord and Roblox identifiers. You agree that we may store and use this link to identify you across Discord servers that use Updatr — to apply, remove, and synchronize your Discord roles and nickname based on your Roblox identity and the Products you own, and to assist server staff and our support team. We request only the "identify" scope and do not access your Discord messages, email, or server list, nor act on your behalf in Discord beyond the role and nickname changes a server has configured. You may only verify a Discord account and a Roblox account that you own or are authorized to operate, and you may request removal of your link at any time. For details on what we store and how to remove it, see the Privacy Policy.

16. Community Membership & Acceptance

The following applies to every member of a Merithic Discord server or other official community space. You accept these Terms by clicking to accept when joining, by verifying your account, or by purchasing any Product — whichever occurs first.

16.1

Acceptance on entry. Merithic community servers use membership screening that requires you to affirmatively click to accept these Terms before you are granted access. By completing that step you agree to be bound by these Terms in full, including Sections 4, 7, 16, and 17, for as long as you remain a member and with respect to any material you access during your membership. Your acceptance, the date of that acceptance, and your account identifiers may be recorded and retained by Merithic as evidence of agreement.

16.2

Access is conditional. Membership grants you permission to view and read content posted in Merithic community spaces for your own personal, informational use only. It grants no licence to copy, reproduce, adapt, republish, or commercially exploit that content. Any use beyond personal reading is outside the scope of the permission granted and is both a breach of these Terms and, where the content is protected, an infringement of Merithic's rights.

16.3

Announcements and written content. Announcements, changelogs, release posts, product descriptions, documentation, support responses, and other written material published in Merithic community spaces or on Merithic platforms are original works authored by Merithic and are protected the moment they are created. You may not copy, repost, or republish this material verbatim or in substantial part, and you may not reproduce its distinctive structure, sequence, phrasing, or formatting in your own announcements or listings.

16.4

Continuing obligation. The obligations in Sections 4, 7, 16, and 17 survive your departure from any Merithic community space and the termination of your account, licence, or membership for any reason. Leaving a server, being removed from it, or losing access to a Product does not release you from obligations that attached while you had access.

17. Competitive Use of Merithic Material

This section defines the limits on using material you access through Merithic community spaces or Products. It restricts the use of Merithic's own expression; it does not restrict your right to develop products, compete in the same market, or independently create similar functionality.

17.1

No systematic reproduction. You may not systematically monitor, collect, or reproduce Merithic's announcements, product listings, written copy, interface designs, or presentation materials for the purpose of reproducing them — in whole, in substantial part, or in close paraphrase — in a competing product, storefront, community space, or commercial release.

17.2

Close imitation. Reproducing the distinctive wording, structure, sequence, formatting, or visual presentation of Merithic material such that an ordinary user would recognise it as derived from Merithic's work is a breach of these Terms, whether or not the copying is literal and whether or not attribution is given. Superficial alterations — renaming, reordering, restyling, or substituting synonyms — do not cure a breach.

17.3

Independent development preserved. Nothing in this Section restricts you from independently developing, releasing, or selling products that perform similar functions or serve the same market. Merithic claims no rights over ideas, functionality, concepts, general product categories, or common design conventions. This Section is directed solely at the reproduction of Merithic's specific creative expression, and any restriction here shall be read no more broadly than is necessary to protect that expression.

17.4

Timing is not a defence. That a competing release follows a Merithic release does not by itself establish a breach, and Merithic does not claim otherwise. However, where reproduction of protected expression under 17.1 or 17.2 is established, the timing and sequence of releases, together with your access to the material through a Merithic community space or Product, may be relied upon as evidence of copying.

17.5

Notice and opportunity to cure. Where Merithic reasonably believes this Section has been breached, it will ordinarily issue a written notice identifying the specific material at issue and the respects in which it is said to have been reproduced, and allow a reasonable opportunity to remove or amend the material before further enforcement. Merithic may proceed without notice where the breach is repeated, deliberate, or causing ongoing harm.

17.6

Enforcement. Breach of this Section may result in any of the enforcement actions in Section 12, including licence revocation, removal from Merithic community spaces, permanent blacklisting, takedown notices to Roblox, Discord, or other hosts under Section 10, and where warranted, civil proceedings. Merithic may publicly identify material it has determined to be infringing, provided any such statement is limited to a factual and accurate description of the material and the specific respects in which it reproduces Merithic's work.

18. Web Applications, Dashboards & Management Platforms

Merithic develops and operates web applications and hosted dashboards, including server, community, and staff management platforms, and any associated Discord applications or bots that support them. These are Products under Section 2.2 and are protected accordingly. This Section sets out what is protected in such a Product and what is not.

18.1

Scope. References in these Terms to a "Product" include Merithic web applications, hosted dashboards, control panels, and server, community, or staff management platforms, together with their source code, front-end and back-end implementations, page and panel structure, navigation and information architecture, database and configuration schemas, permission, role, and rank models, interface copy, and accompanying documentation — whether provided as a hosted service, an installable application, a licensed deployment, or an interface accessed through a Discord application or bot.

18.2

Protected expression. The following are protected expression and may not be copied, reproduced, adapted, or recreated in a competing product: source code and its structure and organisation; the visual design of dashboards, panels, tables, forms, modals, and navigation, including layout, spacing, component composition, colour treatment, iconography, and typographic styling; the arrangement, grouping, ordering, and naming of pages, tabs, sections, and modules where that arrangement is distinctive rather than dictated by function; interface copy, including labels, headings, empty states, tooltips, confirmations, and error messages; database and configuration schemas; permission tier, role, and staff-rank models and their specific structure; onboarding, setup, and configuration flows; and all written documentation and support material.

18.3

Systematic recreation. You may not, having accessed a Merithic Product as a member, customer, staff member, collaborator, or trial participant, use that access to reconstruct, reimplement, or recreate it. This includes systematically screenshotting, recording, transcribing, scraping, or cataloguing its interfaces, panels, schemas, permission structures, or interface copy for the purpose of reproducing them, and directing, commissioning, or supplying such material to another person to do so on your behalf. Access granted for use is not access granted for replication.

18.4

What is not protected. For the avoidance of doubt, Merithic claims no rights over the concept of a web dashboard, of server, community, or staff management, or of combining such functions in a single platform; over any feature, capability, or workflow considered in the abstract; over standard interface conventions such as sidebars, tabs, data tables, search fields, or modals; over the web platform, frameworks, component libraries, or the Discord API and its primitives; or over ordinary descriptive labels such as members, roles, warnings, or settings. Any person remains free to build, release, and sell a competing all-in-one server or staff management dashboard, provided they do so from their own work rather than by reproducing Merithic's expression under 18.2.

18.5

Confidentiality of pre-release access. Where Merithic grants access to a Product before public release — including alpha, beta, preview, staff testing, or early-access programmes — that access is confidential. You may not disclose, describe publicly, screenshot, record, stream, or otherwise publish the Product's features, interfaces, or content before Merithic's public release of them, and you may not use information obtained through that access to develop or inform a competing product. This obligation continues after release with respect to any material not made public, and survives termination of your access.

18.6

Operation and data. Where a Merithic Product is deployed for a server, community, or organisation you control, you are responsible for configuring it lawfully, for the conduct of the staff to whom you grant permissions through it, and for informing your members of any data it processes on your behalf. Merithic may suspend or withdraw a Product from any deployment used in breach of these Terms, Discord's Terms of Service or Developer Policy, Roblox's Terms of Use, or applicable law.

18.7

Enforcement. Sections 17.4 through 17.6 apply to this Section in full, including the evidential relevance of your prior access and release timing, the ordinary provision of written notice and an opportunity to cure, and the enforcement actions available under Section 12.
